Alvin Lee represented the buyers who proposed to purchase the assets, permits, and liquor license at my premises. The lists of the inventory and assets included with the sale were provided previously to the buyers . After the buyers clearly understood the terms and conditions of the sale (“as is” sale), they could have negotiated further if they were in disagreement. Instead, the buyers proceeded to have their attorney draft an agreement with new terms that were never agreed upon by both parties. The new draft was sent to my attorney two weeks later with all the changes that I had NOT agreed to; the terms were unreasonable, unfair and unilaterally favorable to the buyers. The changes made were unfair to me , the seller so my attorney had to review it and revise it to match the original agreement. Attorneys should work on negotiating fair terms for both parties, especially any terms that were agreed upon prior to their involvement. In this case the buyers’ attorney tried to do whatever it took to either meet his clients’ demands or maybe his own ideas; in any case they were unreasonable and unfair. Of course I, as the seller, couldn’t agree. Instead of working out the deal that buyers and seller had agreed to, Alvin sent my attorney a hostile letter with false accusations and threatened to sue me for money (even resorting to lies and tricks). I felt that he had a bad attitude and his actions were unprofessional. This is surprising for someone with his degree and in his profession.
